Sure it does!  Actually, I don't know the depth rating, but the local sheriff
department dive team has used them on at least one nighttime body recovery in
about 30 fsw - seems to me that they used department-owned lights rather than
personal gear though!

I believe Mag Lites are "water resistant", not "waterproof."
